Subject:	Appointment of William F. Howard as Secretary of the University


Action Requested

	The proposed resolution appoints William F. Howard as Secretary of the State University.

Resolution

      I recommend that the Board of Trustees adopt the following resolution:

Resolved that William F. Howard be, and hereby is, appointed  Secretary of  the  State University  of New York, effective immediately, to serve as Secretary in addition to his offices as Senior Vice Chancellor and General Counsel;  and, be it further

Resolved that Mr. Howard will continue to be compensated at an annual salary of $250,000, subject to review and increase in accordance with the provisions of the State University Salary and Compensation Plan.

Background 

      By Res. 2011-003, adopted January 11, 2011, William F. Howard was appointed as Vice Chancellor and General Counsel of the State University, to begin service as of March 1, 2011.  By Res. 2011-082, adopted June 30, 2011, Mr. Howard was promoted to Senior Vice Chancellor and General Counsel, and he assumed additional duties at that time.  Mr. Howard was also designated by the Chancellor, with the consent of the Chairman of the Board, to serve as Acting Secretary of the State University since early summer 2011.
      
      
      
      Under the Policies of the Board, the Secretary of the State University is appointed by the Board of Trustees and serves at the pleasure of the Board.  In addition to functions described in the Policies, the Secretary performs such duties as are assigned by the Board, its committees, and the Chancellor.
