Zimpher, Chancellor Subject: Revision of By-Laws Action Requested The proposed resolution amends the Board’s By-Laws to conform to recently enacted legislation that adds the President of the Faculty Council of Community Colleges to the State University Board as an ex officio and non-voting member. Resolution I recommend that the Board of Trustees adopt the following resolution: Resolved that Section 2 of Article I of the By-Laws of the Board of Trustees of the State University of New York, adopted July 14, 1955 by Resolution 55-62, as last amended by Resolution 2009-110, adopted June 16, 2009, be, and the same hereby is, amended to read as follows (brackets denote old material to be deleted; underlining denotes new material to be added): (2) Composition: Term: Vacancies. The Board shall consist of [seventeen] eighteen members, fifteen of whom shall be appointed by the Governor of the State of New York by and with the advice and consent of the Senate of the State of New York, one of whom shall be the president of the Student Assembly of the State University, ex-officio and voting, [and] one of whom shall be the president of the University Faculty Senate, ex-officio and non-voting, and one of whom shall be the president of the Faculty Council of Community Colleges, ex-officio and non-voting. One member of the Board shall be designated by the Governor as Chairman and one as Vice Chairman. Vacancies in the membership of the Board shall be filled for the unexpired term in the same manner as original appointments. Background Ch. 268 L. 2011, effective August 3, 2011, amended the enabling legislation of the State University to add an eighteenth member to the State University Board of Trustees, the President of the Faculty Council of Community Colleges, who serves ex officio and as a non-voting member.
